Terms and Conditions

These Terms govern access to and use of the ContentVantage platform (the “Service”) and the relationship between the operator of the Service and the users who submit content (“Creators”). Registration implies full acceptance of these Terms.

1. Purpose

ContentVantage is a content acquisition platform. The Service allows the Creator to submit audiovisual material for valuation and, where applicable, for acquisition by ContentVantage in exchange for financial consideration.

2. Account requirements

• You must be at least 18 years old and have legal capacity to contract.
• The details you provide must be accurate and kept up to date.
• Each person may hold a single account. Credentials are personal and non-transferable.
• The Creator is responsible for all activity carried out from their account.

3. Submissions and Creator warranties

By submitting content, the Creator represents and warrants that:

• They are the author of the content or hold all rights necessary to assign it.
• The content is original and does not infringe third-party rights of any kind.
• They have the express consent of every identifiable person appearing in it.
• The content is not unlawful and does not breach applicable legislation on data protection, image rights, intellectual property or the protection of minors.

The Creator shall hold ContentVantage harmless against any claim arising from a breach of these warranties.

4. Prohibited content

It is expressly prohibited to submit material featuring minors in inappropriate contexts, non-consensual sexual content, real violence, hate speech, unlawfully obtained material, or content protected by third-party rights. Submitting material of this nature results in immediate account cancellation and, where appropriate, notification to the authorities.

5. Adult content

ContentVantage accepts adult content (nudity or explicit sexual activity between adults) under additional conditions and in a separate review queue. By marking a submission as such, the Creator represents and warrants that:

• Every person appearing was at least 18 years old at the time of recording.
• Every one of them gave express written consent both to the recording and to the assignment of the material.
• The Creator holds and provides, for each person appearing, an identity document, a live capture holding it, and a copy of the signed consent.

This documentation is a precondition to payment: no submission marked as adult content is paid while documentation is missing for any person appearing in it. The platform enforces this technically, not merely contractually.

Payment methods: adult content is paid only by bank transfer or cryptocurrency. PayPal, Wise, Western Union and MoneyGram expressly prohibit these transactions in their terms of use and cannot be used.

Clause 4 continues to apply in full: any material involving minors, lacking consent, or unlawfully obtained results in immediate account cancellation and notification to the authorities.

6. Valuation and acquisition

ContentVantage reviews each submission and, where applicable, communicates a financial offer to the Creator. The offer is not binding on either party until expressly accepted by the Creator through the Service. ContentVantage reserves the right to reject any submission without having to give reasons.

7. Assignment of rights

Once the offer is accepted and the amount paid, the Creator assigns to ContentVantage the exploitation rights in the content on the terms (territorial and temporal scope, modalities and exclusivity or otherwise) set out in the accepted offer for each submission. Unless expressly stated otherwise, the assignment is non-exclusive.

8. Payments

• Payment is issued within 48 to 72 working hours of the Creator accepting the offered amount, through the method configured in their profile.
• ContentVantage charges the Creator no commission. Payment provider fees (PayPal, Wise, blockchain network, bank) are borne by the Creator.
• The Creator is solely responsible for their tax obligations on the amounts received.
• Incorrect payment details may delay or prevent the transfer; correcting them is the Creator's responsibility.

9. Suspension and termination

ContentVantage may suspend or cancel accounts that breach these Terms, that provide false information, or that submit content owned by others. The Creator may request account closure at any time; acquisitions already completed remain valid.

10. Liability

The Service is provided “as is”. To the extent permitted by law, ContentVantage is not liable for indirect damages, loss of profit or loss of data. Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Changes

These Terms may be updated. Material changes will be communicated at least 15 days in advance by email or by notice within the Service.

12. Governing law and jurisdiction

This agreement is governed by the laws of Ontario and the applicable laws of Canada. For any dispute, the parties submit to the courts of Ottawa, Ontario, unless mandatory consumer protection law in your country of residence provides for a different forum.
