Terms and Conditions

These Terms govern access to and use of the ContentVantage platform (the “Service”) and the relationship between the operator of the Service and the users who submit content (“Creators”). Registration implies full acceptance of these Terms.

1. Purpose

ContentVantage is a content acquisition platform. The Service allows the Creator to submit audiovisual material for valuation and, where applicable, for acquisition by ContentVantage in exchange for financial consideration.

By submitting content, the Creator represents and warrants that:

The Creator shall hold ContentVantage harmless against any claim arising from a breach of these warranties.

4. Prohibited content

It is expressly prohibited to submit material featuring minors in inappropriate contexts, non-consensual sexual content, real violence, hate speech, unlawfully obtained material, or content protected by third-party rights. Submitting material of this nature results in immediate account cancellation and, where appropriate, notification to the authorities.

5. Valuation and acquisition

ContentVantage reviews each submission and, where applicable, communicates a financial offer to the Creator. The offer is not binding on either party until expressly accepted by the Creator through the Service. ContentVantage reserves the right to reject any submission without having to give reasons.

6. Assignment of rights

Once the offer is accepted and the amount paid, the Creator assigns to ContentVantage the exploitation rights in the content on the terms (territorial and temporal scope, modalities and exclusivity or otherwise) set out in the accepted offer for each submission. Unless expressly stated otherwise, the assignment is non-exclusive.

8. Suspension and termination

ContentVantage may suspend or cancel accounts that breach these Terms, that provide false information, or that submit content owned by others. The Creator may request account closure at any time; acquisitions already completed remain valid.

9. Liability

The Service is provided “as is”. To the extent permitted by law, ContentVantage is not liable for indirect damages, loss of profit or loss of data. Nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Changes

These Terms may be updated. Material changes will be communicated at least 15 days in advance by email or by notice within the Service.

11. Governing law and jurisdiction

This agreement is governed by the laws of Ontario and the applicable laws of Canada. For any dispute, the parties submit to the courts of Ottawa, Ontario, unless mandatory consumer protection law in your country of residence provides for a different forum.
